Representing
financial institutions, including banks, insurance companies and other
institutional lenders, has been an important part of ISSA Group Financial
Intermediary (herein referred as the Company) since the Company’s inception. The
Company's financial institution clients are well served by our technologically
advanced operations, which include comprehensive, full-text indexed databases of
legal document forms and legal research in association with leading law firms.
The Company has
represented financial institutions in stock offerings for raising new capital,
bank mergers, acquisitions and reorganizations, proxy and takeover contests,
real estate and commercial lending and leasing, securitization of loans,
employee relations, and trust issues. The Company's lawyers and financial
consultants have experience in structuring, negotiating and documenting all
types of secured and unsecured commercial loans. The Company regularly
represents financial institutions on a wide range of commercial loan
transactions, including accounts receivable and inventory financing, other
asset-based financing, real estate lending, construction lending,
debtor-in-possession financing and acquisition financing.
The Company represents both senior and subordinated lenders, lead or agent banks
when a number of lenders participate in a credit facility and mezzanine lenders
who may receive a combination of equity and debt instruments in connection with
a loan. The Company consultants and lawyers are experienced in industrial
development and other bond related financing, as well as letter of credit and
other credit enhancement transactions.
The Company's experience in commercial lending crosses a wide range of
industries, including retail, medical supply, oil and gas, coal, manufacturing,
and high technology.

Such work has involved conventional commercial lending and issuance by financial
institutions of letters of credit or standby bond purchase agreements to provide
credit and/or liquidity enhancement for taxable and tax-exempt public and
private bond issues, as well as issuances of commercial paper.
We are knowledgeable in all aspects of the Uniform Commercial Code and other
statutes on the creation of security interests and liens against all types of
collateral, as well as the numerous issues arising out of mortgage and real
estate transactions.
